Licence Agreement

The terms of Licence Agreements vary. They can last for:
  1. 12 months, or
  2. perpetuity.
And they can also cover:
  1. a single territory
  2. multiple territories, or
  3. the world.
Key points
  1. All licences are exclusive. This means that even if you only choose to have a 12-month licence, it can't be used by another Member afterwards.
  2. All 12-month licences can be renewed. If you wish to extend the term of your licence beyond 12-months, just contact OpenAd.net and we will arrange it.
  3. All licence purchases and extensions are via OpenAd.net.
  4. Your licence does not necessarily include all components of an idea. Additional components photographs, music, etc can be used by a Creative to help describe their idea, but they are not always a part of it. If you wish to buy these additional components, you will need to arrange a separate licence fee.
In order to protect everyone involved with OpenAd.net Members and Creatives alike there are a lot of details in our Licence Agreement. To make things easier, we've listed some main points for you in a bite-size guide. This way you can get an idea of the important issues quickly. However, this does not replace the full and legally binding document that should also be read.

We've listed some key points for you in a bite-size guide, so that you can get an idea of the main issues (please note that this is only a guide. Follow the link at the end of the guide for the full and legally binding agreement):
  1. The Licence Agreement covers the terms all Buyers must agree to regarding the idea and concepts provided by Creatives. This includes details about the length of licence terms and the territories licences apply to.
  2. Creative material (and the right to use it) will only be transferred to a Buyer after they have paid the licence fee in full. Payment must be in US dollars, and may be made by bank cheque or electronic transfer.
  3. The Buyer must pay the licence fee within 15 days of accepting the Licence Agreement. When we receive payment, we will supply the material to the Buyer (in a format specified by OpenAd.net), and remove the idea from the site.
  4. A Buyer can't claim any refund or compensation if they do not use purchased material during the licence term or throughout all specified territories.
  5. All negotiations relating to licenses and licence terms must be conducted exclusively through OpenAd.net. Strong action will be taken if any Buyer attempts to bypass OpenAd.net in this way.
  6. If a Buyer wishes to extend a licence term, they will need to pay another licence fee. Extension must be negotiated with OpenAd.net, and the terms and conditions contained in the Licence Agreement must be agreed by the Buyer.
  7. The identity of Creatives may be told to a Buyer if the work is licensed, but Creatives are allowed to request that it is not. However, the Creative's identity may be told to the Buyer in the case of a copyright infringement claim or in the event of legal proceedings brought by OpenAd.net concerning the originality of material or a Creative's right to license it.
  8. The Buyer agrees that his identity may be told to the Creative when payment of the licence fee has been made.
  9. If OpenAd.net suspects copyright or other infringement in any Creative material, it is entitled to show the Creative the Member's browser history dating back to when the infringement took place.
  10. The Buyer acknowledges that OpenAd.net shall not be liable for any infringements of copyright or any other intellectual property rights in Creative material.
